In an acquisition, the most expensive mistakes are the ones you spot after signing. That's exactly what financial due diligence is for: finding, in time, whatever affects the price, the warranties or the decision itself. We work on both the buy side and the sell side.

Buy-side financial due diligence

A review of the target's financial position: the real substance behind reported earnings, normalised EBITDA, working capital requirements, net debt, and any hidden liabilities or risks.

Vendor due diligence

Preparing for a sale: getting the numbers in order and presentable, and answering the questions buyers will ask before they ask them. The process becomes faster and more predictable.

Acquisition support

Support on the financial side of the transaction: reviewing the financial terms of the purchase agreement — price adjustment mechanisms, net debt and working capital definitions — and supporting the completion accounts.

Post-transaction integration

Integrating the acquired company's finance function: aligning accounting policies, consolidating reporting and harmonising controlling. This is where much of a deal's value tends to leak away if nobody owns it.

We typically review a mid-sized company in 3–5 weeks, provided the data room is available on time. Where speed matters, a reduced-scope accelerated review is also possible.

Do you also carry out legal due diligence?

No, we cover the financial and accounting side. We work with law firms regularly and are happy to recommend one, or to work alongside the firm you choose.
